“Be a good person” agreement - The Source Marketplace Terms & Conditions of Use

IMPORTANT — PLEASE READ CAREFULLY: By accessing or using The Source Marketplace (the "App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not use the App.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and [Your Company Name, LLC] ("Company," "we," "us," or "our") governing your access to and use of the The Source Marketplace community platform, including all related mobile and web applications, features, and services (collectively, the "App").
By creating an account, accessing, or using any part of the App, you confirm that you:
Are at least 18 years of age (or the age of majority in your jurisdiction);
Have read, understood, and agree to be bound by these Terms;
Have read and agree to our Privacy Policy, incorporated herein by reference;
Have the legal capacity and authority to enter into this agreement.
We reserve the right to update these Terms at any time. Continued use of the App after changes are posted constitutes your acceptance of the revised Terms.
2. The "Be a Good Person" Community Standard
The Source Marketplace is built on a simple, foundational principle: be a good person. This means treating every member of our community — buyers, sellers, and fellow users — with respect, honesty, and kindness. This is not just a policy; it is the spirit of everything we do.
2.1 Our Core Values
Treat others the way you want to be treated.
Be honest in your listings, reviews, and communications.
Respect differences in background, culture, identity, and opinion.
Resolve disputes constructively and in good faith.
Support a safe and welcoming environment for everyone.
2.2 What We Expect From You
As a member of our community, we expect you to uphold these values in every interaction and piece of content you contribute to the App.
3. Code of Conduct
The following behaviors are strictly prohibited on Agora:
3.1 Prohibited Conduct
Harassment, bullying, intimidation, or threats toward any user, including via private messages;
Hate speech, discrimination, or content that demeans individuals based on race, ethnicity, religion, gender, sexual orientation, disability, nationality, age, or any other protected characteristic;
Posting sexually explicit, graphic, violent, or otherwise offensive content;
Impersonating any person, business, or entity, or misrepresenting your identity or affiliation;
Spamming, sending unsolicited messages, or engaging in any form of automated communication without consent;
Posting false, misleading, or fraudulent listings, reviews, or information;
Soliciting users to conduct activity that violates these Terms or any applicable law;
Sharing another user's private information without their consent (doxxing);
Using the App to advertise, list, or arrange the exchange of counterfeit, stolen, illegal, or prohibited goods or services;
Attempting to hack, disrupt, or interfere with the App's systems, security, or other users' accounts.
3.2 Community Listing & Communication Rules
Agora is a discovery platform where users connect and arrange transactions independently. While we do not facilitate or oversee offline transactions, we do govern conduct on the platform itself. Users agree to:
Accurately and honestly represent any item or service listed on the App;
Communicate with other users in good faith and in accordance with these Terms;
Not use the App's messaging or listing features to deceive, defraud, or manipulate other users;
Not arrange or encourage any exchange that would be illegal in the jurisdiction where it takes place;
Honor commitments made to other users through the App to the extent reasonably practicable.
We are not a party to any agreement, arrangement, or transaction made between users, and we have no control over whether users follow through on commitments made on the platform.
4. Account Registration & Security
To use certain features of the App, you must register for an account. You agree to:
Provide accurate, current, and complete information during registration;
Maintain and promptly update your account information to keep it accurate;
Keep your password confidential and not share it with any third party;
Notify us immediately of any unauthorized access to or use of your account;
Be solely responsible for all activity that occurs under your account.
We reserve the right to refuse registration or cancel accounts at our discretion, including if we believe a user has violated these Terms.
5. User-Generated Content
The App allows you to post, upload, share, and publish content, including listings, photos, reviews, messages, and profile information ("User Content"). You retain ownership of your User Content, but by posting it, you grant [Your Company Name, LLC] a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, modify, and distribute your User Content in connection with operating and promoting the App.
You represent and warrant that:
You own or have the right to share all User Content you post;
Your User Content does not violate any third-party rights, including intellectual property or privacy rights;
Your User Content complies with these Terms and all applicable laws.
We do not endorse User Content and are not responsible for it. We reserve the right — but have no obligation — to monitor, remove, or restrict any User Content at our sole discretion.
6. Offline Transactions — Important Disclaimer
Agora is a community discovery platform only. We connect users so they can find each other, communicate, and arrange exchanges independently. We are not a payment processor, escrow service, or marketplace operator. All transactions, exchanges, and agreements between users occur entirely offline and independently of the App.
This means:
Agora is not a party to any transaction, agreement, or arrangement between users;
We do not handle, process, hold, or guarantee any payments between users;
We make no representations about the quality, safety, legality, or accuracy of any listing or the reliability of any user;
We are not responsible for the outcome of any offline meeting, exchange, or transaction arranged through the App;
Users assume full responsibility for any offline interaction they choose to engage in.
Safety recommendation: When meeting another user in person, we strongly encourage you to meet in a public place, bring a trusted person with you, inform someone of your plans, and trust your instincts. Agora is not responsible for your personal safety during offline interactions.
If you are defrauded, harmed, or otherwise wronged in an offline transaction, your recourse is with the other user and, where applicable, law enforcement — not with Agora.
7. Enforcement, Removal & Bans
We take violations of these Terms seriously. We reserve the right to take any of the following actions, at our sole discretion and without prior notice:
7.1 Enforcement Actions
Issue warnings or notices for minor or first violations;
Remove, edit, or restrict any User Content that violates these Terms;
Temporarily suspend your account and access to the App;
Permanently ban your account and prohibit future registration;
Void reviews associated with your account;
Report conduct to law enforcement or relevant authorities where required or appropriate.
7.2 Grounds for Removal or Ban
Without limiting the above, we may suspend or permanently ban accounts for:
Repeated or severe violations of the Code of Conduct (Section 3);
Fraudulent, deceptive, or illegal activity conducted through or in connection with the App;
Receiving an unusually high number of complaints or reports from other users;
Any conduct that we determine, in our sole judgment, to be harmful to the community, other users, or the integrity of the App.
7.3 Appeals
If you believe your account was suspended or banned in error, you may submit an appeal to legal@agora.com within 30 days of the action. We will review appeals in good faith but are not obligated to reinstate any account. Our decisions on enforcement are final.
8. Reporting & Moderation
We rely on our community to help maintain a safe environment. If you encounter content or behavior that violates these Terms, please use the in-app reporting tools or contact us directly.
By submitting a report, you represent that you are doing so in good faith. Abuse of the reporting system to target users maliciously is itself a violation of these Terms.
We investigate reports at our discretion and may not be able to share outcomes due to privacy considerations.
9. Intellectual Property
All content, trademarks, logos, software, and materials that are part of the App — other than User Content — are owned by or licensed to [Your Company Name, LLC] ("Company Content"). You may not copy, reproduce, distribute, or create derivative works from Company Content without our express written permission.
If you believe any content on the App infringes your intellectual property rights, please contact us at the address provided in Section 16.
10. Privacy
Your privacy matters to us. Our Privacy Policy, available at https://agora.com/privacy, explains how we collect, use, and protect your personal information. By using the App, you consent to our data practices as described in the Privacy Policy.
We do not sell your personal data to third parties for their direct marketing purposes.
11. App Fees
Access to Agora is currently free. If we introduce any paid features or subscription tiers in the future, we will notify users in advance and update these Terms accordingly. We will never charge you for a feature without your explicit consent.
12. Disclaimers & Limitation of Liability
12.1 Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, [YOUR COMPANY NAME, LLC] DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY REGARDING THE CONDUCT, RELIABILITY, OR IDENTITY OF ANY USER, OR THE OUTCOME OF ANY OFFLINE INTERACTION OR TRANSACTION ARRANGED THROUGH THE APP.
12.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, [YOUR COMPANY NAME, LLC] AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, INCLUDING ANY OFFLINE TRANSACTION, MEETUP, OR EXCHANGE ARRANGED THROUGH THE APP.
In jurisdictions that do not allow the exclusion or limitation of liability, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless [Your Company Name, LLC] and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:
Your use of or inability to use the App;
Your violation of these Terms;
Your violation of any third-party rights, including intellectual property or privacy rights;
Any content you post or transmit through the App;
Any offline transaction, meetup, exchange, or agreement you enter into with another user, whether or not it was arranged through the App.
14. Termination
These Terms remain in effect while you use the App. You may stop using the App and delete your account at any time through the App settings.
We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the App ceases immediately. Provisions of these Terms that by their nature should survive termination — including ownership, disclaimers, indemnity, and limitation of liability — shall survive.
15. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the App shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of [Arbitration Association], except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.
You waive any right to participate in a class-action lawsuit or class-wide arbitration.
16. General Provisions

Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision.
Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely.
No Agency: Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and us.
